App Terms and Conditions

Welcome to Sourcery Procurement Platform Inc. (“Sourcery,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your use of our application, website (www.gosourcery.com), and related services (together, the “Services”).

By downloading, installing, accessing, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Scope of Services

Sourcery provides tools for project management, collaboration, and product/service information. Features may include:

• Viewing, editing, and organizing data.
  
  
• Project and collaboration functions.
  
  
• Communication with other users.
  

2. Eligibility and Account Registration

• You must be at least 18 years old to use the Services.
  
  
• You agree to provide accurate and current information when registering and to keep your account details up to date.
  
  
• You are responsible for maintaining the confidentiality of your account and password and for all activity under your account.
  
  
• Sourcery may suspend or terminate your account at any time for violation of these Terms.
  

3. License to Use the Application

Subject to these Terms, Sourcery grants you a limited, non-exclusive, non-transferable, revocable license to download and use the application on devices you own or control, solely for personal or internal business purposes.

You agree not to:

• Copy, modify, reverse engineer, or attempt to extract the source code of the app.
  
  
• Use the app for unlawful, harmful, or unauthorized purposes.
  
  
• Interfere with the operation or security of the Services.
  

4. Marketplace Terms (Apple App Store and Google Play)

If you downloaded the app from Apple’s App Store or Google Play:

• These Terms are between you and Sourcery, not Apple or Google.
  
  
• Apple and Google are not responsible for the app or its content.
  
  
• Neither Apple nor Google has an obligation to provide maintenance or support for the app.
  
  
• In the event of a failure of the app to conform to an applicable warranty, you may notify Apple or Google, and they may refund the purchase price (if any). To the maximum extent permitted by law, Apple and Google have no other warranty obligation.
  
  
• Apple and Google are not responsible for addressing any claims by you or third parties relating to the app, including product liability, legal compliance, or intellectual property infringement.
  
  
• You must comply with the App Store and Google Play Terms of Service when using the app.
  
  
• Apple and Google and their subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
  

5. User Content and Conduct

You retain ownership of any content you submit through the Services. By submitting content, you grant Sourcery a limited license to use it as necessary to operate the Services.

You agree not to:

• Post unlawful, obscene, harmful, or infringing material.
  
  
• Impersonate others or misrepresent your identity.
  
  
• Attempt to gain unauthorized access to the Services.
  
  
• Interfere with or disrupt the Services or servers.
  

6. Intellectual Property

All content, trademarks, and materials provided through the Services (except user-generated content) are owned by Sourcery or its licensors. You may not copy, distribute, or use them except as expressly permitted by these Terms.

7. Fees and Payment

Some features may require payment. You agree to pay all fees as described within the Services. Payments must be made using authorized methods. Fraudulent or prohibited transactions are not allowed.

8. Third-Party Services

The Services may link to or integrate with third-party services. Sourcery is not responsible for those services or their content, policies, or practices.

9. Disclaimer of Warranties

The Services are provided “as is” and “as available.” Sourcery makes no warranties of any kind, express or implied, regarding the operation or availability of the Services, or that they will be error-free or secure. Your use of the Services is at your sole risk.

10. Limitation of Liability

To the fullest extent permitted by law, Sourcery and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Services.

11. Indemnification

You agree to indemnify and hold harmless Sourcery and its affiliates from any claims, losses, or damages resulting from your use of the Services or violation of these Terms.

12. Termination

Sourcery may suspend or terminate your account and access to the Services at any time, with or without cause or notice. Upon termination, your rights to use the Services will cease immediately.

13. Children’s Use

Our application is not directed to children under 13, and we do not knowingly collect personal information from children.

14. Export and Compliance

You may not use or export the Services except as permitted by Canadian law and the laws of the jurisdiction where the Services are provided. You agree not to use the Services in any country or manner prohibited by applicable law.

15. Governing Law

These Terms shall be governed by the laws of Ontario, Canada, and applicable federal laws.

16. Changes to Terms

We may update these Terms from time to time. Continued use of the Services after updates means you accept the revised Terms.
